'Yummi' Voucher Regulations

1.    Issuer Identity: Pluxee Israel Ltd., Company Registration No. 512768706 (the "Company").
2.    Voucher Nature and Redeeming Provider: The Company enables users to purchase, through the website/app (collectively, the "Company's System") digital vouchers, in predefined amounts, which are issued by the Company ("Voucher" or "Cibus Voucher"). Each Voucher entitles its holder to purchase products on the "Yummi" website of Yummi Home Food Ltd. (the "Business"), up to the amount stated on the Voucher (the "Voucher Value"), all in accordance with and subject to the provisions set out below.
3.    The provisions of these Regulations apply to the purchase, possession, and redemption of Cibus Vouchers, in addition to the Company's Terms of Use and Privacy Policy  available in the Company's System (collectively, the "Terms of Use"), which you are responsible for reviewing carefully. In the event of any contradiction between the provisions of these Regulations and the provisions of the Terms of Use, the provisions of these Regulations shall prevail. Possession of a Cibus Voucher constitutes consent to the provisions of these Regulations and the Terms of Use, and an undertaking to act in accordance with their provisions. Terms not defined in these Regulations shall be interpreted in accordance with their definition in the Terms of Use.
4.    Voucher Validity: The validity period of the Voucher is 5 years from the date of its issuance. The Company automatically extends any Voucher that has not been redeemed by the end of its validity period, without requiring any further action, as follows: A Voucher Value of up to NIS 150 – extended for an additional 5 years (i.e., a total of 10 years). A Voucher Value exceeding NIS 150 – extended for an additional 10 years (i.e., a total of 15 years). After this period, the Voucher can no longer be used or renewed/extended.
5.    Voucher Redemption Method: A Voucher may be redeemed only once, throughout its validity period, for a transaction whose amount is not lower than the Voucher Value, and once the Voucher has been redeemed, it cannot be reused or used again. The Voucher cannot be converted into cash, and no change and/or refund will be provided for failure to use the full Voucher Value. A "split purchase" may be made using the Voucher, meaning that part of the transaction may be paid using the Voucher (up to the full Voucher Value) and the remaining balance by another payment method. A Cibus Voucher may not be used to buy purchase vouchers, vouchers, or gift cards at the Business. The Voucher is charged immediately upon the approval of the transaction by the Business.
Please note that orders must be placed at least one day in advance; a minimum order amount may apply depending on the customer’s location and the selected cook, as indicated at the time of ordering; nationwide delivery coverage is subject to the Business’s policy and can be checked on the Business’s website.
6.    To the extent that you wish to redeem more than one voucher in a single transaction, you must contact the Business's customer service by phone at 03-7160699.
7.    Liability; Loss/Theft Provisions; Balance Restoration: You are aware that the Voucher has monetary value ("Money Equivalent"), which involves risks, including loss, theft, and misuse by any unauthorized party. From the moment the code is sent by the Company, as stated below, you are responsible for keeping it, and any means enabling its redemption, in a safe and confidential place in order to prevent misuse or unauthorized use. Restoration of the balance of a Voucher that has been lost, deleted, or stolen, for any reason, will be carried out only in circumstances required by law. In all other cases, full responsibility for any claim regarding loss/damage, or use of the Code by an unauthorized third party shall rest solely with the holder of the Voucher, and no compensation of any kind will be provided by the Company.
8.    Voucher Purchase: The purchase of the Voucher is carried out through the Company’s System. Only one Cibus Voucher may be purchased per order. The purchase of a Voucher is made against payment of the Voucher Value, in accordance with the Terms of Use (and is not subject to any fee or additional charge). 
9.    Using the Voucher will entitle you to all promotions and discounts granted by the Business to all its customers.
10.    Upon completion of a transaction for the purchase of a Cibus Voucher, an order confirmation and a unique digital code will be sent to you via email and SMS (the "Code"). In order for the confirmation and Code to reach you, it is your responsibility to ensure that the email address and mobile phone number defined in your user account with the Company are correct and up-to-date. The Company will not be liable for any malfunction in sending the Code or for non-receipt of the Code resulting from incorrect details.
11.    It is strictly forbidden to use the Voucher for business or commercial purposes, including resale/wholesale. In any case of concern regarding a potential violation of this section, the Company may cancel the Voucher by written notice sent in accordance with the Terms of Use. The Voucher may be transferred, provided that such transfer does not constitute a prohibited sale as stated above. 
12.    Voucher Purchase Cancellation: Cancellation of the purchase of a Cibus Voucher is permitted only if the Voucher has not been redeemed, and only if the cancellation request is submitted in writing to the Company within 21 days of its purchase, via the "Contact Us" feature in the Company's System, or by email or phone to the Company's customer service. To the extent that the Voucher (or any part thereof) was purchased using the employer budget, the refund amount relating to the employer budget will be credited back to the user account in the Company's System.
13.    A Voucher that is suspected of being counterfeit will not be honored. In addition, the Company reserves the right not to honor the Voucher or to cancel it if there is a suspicion of fraud, deception, money laundering, or any other criminal offense in connection with it, and will send you a notice in accordance with the provisions of the Terms of Use.
14.    Redeeming a Cibus Voucher and executing transactions using it will be subject to the provisions of any applicable law, the Terms of Use, as well as the policies and procedures of the Business, including the Terms of Use of the Business's website. It is your responsibility to ensure that these terms are acceptable to you before purchasing the Voucher.
15.    You are aware that the Company issues the Cibus Vouchers and undertakes to ensure that the Vouchers are honored by the Business; however, any transaction for the purchase of products/services through a Voucher is carried out directly between you and the Business, and the products/services purchased through it at the Business are the sole and full responsibility of the Business, as detailed in the Terms of Use, including with respect to to the nature of the transaction, its cancellation, or any inquiry related thereto. You are invited to contact the Company's customer service in any case where the Voucher cannot be honored, or to request the cancellation of the Voucher as detailed above. In the event that you are unable to redeem the Voucher due to the Business's failure to honor it (not due to a technical/temporary malfunction), the Company's customer service will assist you in finding an alternative solution that preserves the monetary value of the Voucher to your satisfaction, including converting it to another voucher offered by the Company or refunding the Voucher Value purchased from the employer budget to your account in the Company's System. For the avoidance of doubt, you acknowledge and agree that technical or other malfunctions may occur, during which the Voucher may not be redeemable until such malfunctions are resolved. Any description or information appearing in the Company’s System regarding the Business is the sole responsibility of the Business.
16.    It is clarified that in any case of crediting/restoring a balance to the Voucher, including following an instruction from the Business, the provisions of these Regulations shall apply to the credited amount.
17.    Voucher Use Suspension: The Company shall be entitled to suspend your right to use the Voucher if required by law or for other reasons, such as a reasonable concern about security breaches related to the Vouchers, the commission of an offense, misuse/fraud, or any action contrary to the Terms of Use. In addition, you are entitled to request that the payment method be suspended for a period of up to 14 days, by providing notice to the Company. 
18.    Ordering the Voucher is entirely at your own discretion. The Company's issuance and sale of the Vouchers does not constitute any opinion or view regarding the Business, including its quality, nature or any matter relating to it, nor does it constitute a recommendation, advice, or solicitation to purchase products or services from the Business.
19.    The Company may, at any time, cease the distribution of Cibus Vouchers or amend the provisions of these Regulations, at its discretion and subject to applicable law.
20.    Disclosure: The issuance of Vouchers is carried out under a license-exempt framework pursuant to the Regulation of Payment Services and Payment Initiation Law, 5783-2023, and the Company's activity is not supervised by the Israel Securities Authority.
